Instructor Agreement
Version 1.0 · Applicable from October 24, 2026
Version 1.0 · October 23, 2026. Applicable following express acceptance of the current version.
1. Parties and nature of the agreement
This Agreement is entered into between Carlos Alfredo Fornié Alonso, NIF 78533554P, owner and operator of the RCSkills platform (the “Operator”), and the individual or legal entity identified upon registration as an instructor or academy (the “Instructor”). The Operator provides platform, hosting, distribution, promotion, technical contracting and course-access management services.
Under the agreed commercial model, the Instructor determines the content and pricing of their courses and acts as the seller to students. Use of Stripe Connect Direct Charges and this contractual description neither displaces mandatory law nor establishes, by itself, the VAT classification of the parties. The Instructor remains independent in their professional activity and does not become an employee of RCSkills.
2. Registration and professional verification
The Instructor must have legal capacity to contract, hold the rights and authorisations needed for their business and provide accurate information. Activating commercial functionality may require completion of the Stripe Account, Billing Details and versioned acceptance of this Agreement. Stripe carries out its own identification, bank account and verification procedures in accordance with its terms.
Where an academy wants different teachers to receive payments separately, each seller must use a separate Instructor account. RCSkills may proportionately verify professional and publication requirements and provide reasons for rejections or suspensions.
3. Services and obligations of RCSkills
RCSkills will provide catalogue tools, hosting, technical access controls, payment management through an external provider, promotional services and initial support. It does not guarantee any number of students, level of visibility, minimum sales or 100% uptime. It will endeavour to provide reasonable continuity and notify users of significant incidents and scheduled maintenance where possible.
The Operator may approve, request corrections to, reject or remove courses in the event of breach of this Agreement, legal infringement or safety risks, applying proportionate measures, stating reasons and providing review channels where legally required.
4. Pricing, access and free courses
The Instructor sets prices, descriptions and subscription offers using available monthly, quarterly, half-yearly and annual plans. Final prices, taxes, discounts, scope of membership and renewal frequency must be clear and accurate before contracting. The Instructor is responsible for ensuring that their offer complies with applicable law.
The Instructor may publish free courses subject to the applicable review and approval procedures. Published and approved courses designated as free may be accessed by signed-in students without payment. This commercial model does not include individual purchases of paid courses unless that option is expressly introduced.
5. Fees and commissions
The Instructor is not required to pay a fixed fee to register or remain on the platform without making sales. For sales or subscriptions actually paid, RCSkills receives a commercial commission of 10% of the disclosed calculation base, plus a configurable infrastructure component. The indicative value of that component is 5%, but the effective percentage charged must be expressly disclosed and accepted in the Instructor’s monetisation settings and may not be imposed tacitly.
Commission amounts and their calculation based on actual payments, taxes and adjustments will be itemised for the Instructor. Stripe processing fees are separate and governed by the agreement between Stripe and the seller. The tax treatment and billing documentation for these amounts will follow applicable legislation and legally issued documentation.
6. Stripe account and refunds
Under Stripe Connect Direct Charges, payments are processed technically through the Instructor’s connected account. The Operator may create payment sessions, verify access entitlements and process authorised administrative refunds. The Instructor will cooperate with complaints, refunds and disputes and remain responsible for the obligations applicable to them as a trader.
Refund reconciliation and commission adjustments must reflect actual financial transactions. The platform does not charge fixed fees to instructors without revenue, without prejudice to any obligations arising under the payment provider’s own terms.
7. Content, transparency and safety
The Instructor will ensure that course listings are up to date, accurate and not misleading as to level, syllabus, included materials, reasonably expected outcomes, prerequisites and limitations. In exercise, dance, sport and acrobatics courses, the Instructor must disclose foreseeable risks, safety measures and any need for supervision or prior training.
Illegal, fraudulent or discriminatory content, material inciting violence, or material exposing students unjustifiably to dangerous practices is prohibited. RCSkills may request corrections or restrict the commercial availability of courses where there are substantiated risks or complaints.
8. Ownership and licence to content
The Instructor retains the intellectual and industrial property rights that they hold in their materials. For the duration of a course’s publication and for any additional time necessary to respect the paid access rights of existing students, the Instructor grants RCSkills a non-exclusive licence to host, technically reproduce, communicate to authorised students, display, promote and translate those materials through RCSkills channels and its technology providers.
This licence does not transfer ownership to the Operator or permit exploitation of courses outside the agreed purposes. Any subsequent retention strictly required by law, for handling complaints or for evidentiary purposes does not constitute a perpetual licence for commercial exploitation.
9. Third-party rights and rights in a person’s image
The Instructor represents and warrants that they have sufficient rights, licences and permissions to use any third-party music, images, videos, designs, trademarks or other materials. They must also have a valid legal basis for recording and publishing the image or voice of identifiable individuals, including dance partners and students, and be able to demonstrate the permissions required.
Permission to attend a class or appear in a private recording cannot be presumed to authorise its online publication or commercial exploitation. The Instructor will cooperate in investigating complaints submitted to legal@rcskills.com and in the legally required removal and remediation measures.
10. Course updates and withdrawal
The Instructor may revise, correct and expand their courses. They must not materially replace a syllabus or voluntarily remove contracted materials in breach of students’ acquired rights. When an offer is closed, RCSkills will block new subscriptions while maintaining already paid access until the end of the applicable term, unless legal requirements or risks justify earlier removal and the corresponding remedies.
11. Suspension and review
RCSkills may reasonably suspend an account or course in cases of fraud, serious infringement, contractual breach or legal or safety risks, restricting new subscriptions where appropriate. The Instructor may request a review at soporte@rcskills.com or legal@rcskills.com. While suspension is in effect, students’ rights will be respected to the extent lawful and safe.
Temporary suspension and permanent withdrawal are separate procedures. Provisional suspension does not necessarily entail deletion of courses or permanent cancellation of students’ accounts.
12. Permanent withdrawal of the Instructor
Where the Instructor requests the definitive termination of their activities on RCSkills, the platform will stop accepting new subscriptions and prevent future renewals of affected memberships. Students who have already paid will retain access until their respective expiry dates, and the materials necessary for such access will remain available to them, except where earlier removal is required for legal or safety reasons.
Final deletion of the public profile and courses will be deferred until the last affected paid-access period has ended and indispensable payment, refund and complaint reconciliation has been completed. Documents subject to statutory retention will be kept under restricted access and will not be deleted merely because the account is closed. Requests to close an account or exercise data protection rights may be sent to privacidad@rcskills.com.
13. Students’ personal data
The Instructor will use only student information essential for managing relationships arising from their courses and memberships. Extracting, sharing or using personal data obtained through RCSkills for unauthorised independent promotional campaigns is prohibited. Processing for which the Instructor is legally responsible as seller, including processing reflected in Stripe records, remains subject to their own independent privacy obligations.
14. Translations and corrections
RCSkills may provide automated translations of descriptions and materials where those functions are enabled. The Instructor permits authorised technical adaptations and undertakes to review and correct reported errors affecting essential content, safety or contractual information.
15. Economic and contractual changes
RCSkills will communicate material changes to terms or fees clearly and with the notice required by law, specify their effective date and seek additional acceptance where required. Rights already paid for by students and transactions already accrued will not be altered retroactively in breach of the agreement.
16. Complaints, liability and jurisdiction
Complaints may be sent to soporte@rcskills.com and legal notices to legal@rcskills.com. Each party is responsible for its own breaches and legally attributable loss, without any general exclusion of mandatory rights. This Agreement is governed by Spanish law and the jurisdiction legally applicable according to the professional nature of the parties’ relationship.
17. Entry into force and acceptance
The Instructor will expressly accept the applicable version of this Agreement through a traceable process when activating functions that depend on it. Subsequent versions, dates and acceptance records must be appropriately retained. Acceptance does not replace mandatory agreements with Stripe or the Instructor’s professional legal obligations.
